Agreement to Sell or Sale Deed: Which One Makes You the Owner in Bangalore?

Two papers, one near the start of a purchase and one at the end, decide who owns a Bangalore home. They look alike on a desk but work very differently in law. The sections below explain each paper's job, the moment title moves, the effect of token money and early keys, and a buyer's options against a seller who stalls.
Quick Contrasts
The first paper travels under many names, among them agreement to sell and, on a new flat, agreement for sale. The second may be labelled a conveyance, or an absolute sale deed. Their main differences are these.
- One paper is a pledge by both sides, and the other completes the pledge.
- The pledge is signed up front alongside an advance, while the completion comes last, alongside the balance.
- Until the deed is registered, the seller stays the owner; afterwards the buyer is.
- Registration is always needed for a deed, but for an agreement only in RERA projects or where the keys are handed over early.
- Duty on an agreement is small unless possession passes, whereas a deed bears the full charge on market value.
Why the Agreement Falls Short of Ownership
Section 54 of the 1882 Act on property transfers is explicit: a promise to sell a plot or an apartment block gives the buyer no stake in it. What the buyer gains is a personal right to demand completion, while title stays put.
The right is still useful. Lenders want to see an agreement before approving a loan for a named property, it fixes the price while a lawyer checks the title, and courts enforce it against a seller who refuses to proceed.
How the Deed Completes the Sale
Selling immovable property priced at Rs. 100 and above has to be done by a registered document, a rule restated in section 17 of the 1908 Registration Act. An unregistered deed passes nothing.
A deed records that the whole price has been received and hands over the property free of doubt on title. It describes the plot or flat by survey or khata number, size and boundaries. After the sub-registrar enters it, public records name the buyer as owner, and the khata change, tax entry, future loans and resale all rest on it.
Keys, Cash and the Date of Ownership
Registration is the date of ownership. Full payment, a signed agreement and even living in the home leave the transfer unfinished. The Supreme Court ruled in Suraj Lamp (2011) that no title passes through a power of attorney, a will or an agreement, used separately or together.
A buyer who has paid most of the money against such a paper therefore holds only a claim; the property remains the seller's. Keep the interval short, release money in stages and hold back the largest instalment for registration day.
Token Payments
Resale bargains often start with a token before any paper is drafted. Ask for a brief receipt naming the property and price, giving a date for the agreement and the date the token is repaid if the deal lapses.
The agreement then settles the advance. Normally the seller keeps the advance if the buyer pulls out without cause; if the seller pulls out, or the title proves flawed, it goes back, often with extra. A refund clause covering a refused loan or a title check that fails is worth negotiating.
Handing Over Keys Early
Some agreements transfer possession before the deed. In Karnataka this brings duty at the conveyance rate, credited later against the deed, and means the agreement should be registered if possession is to be safe.
Part performance under section 53A of the same 1882 statute gives the shelter. A buyer who lives there under a written agreement that is registered, and is willing to finish the deal, can fend off any attempt by the seller to evict. It protects occupation only, so the buyer cannot sell or mortgage.
Flats Sold by Builders
Where the project is on the RERA register, the early stage is controlled. Until a written agreement for sale is executed and registered, section 13 limits advances to a tenth of the price. The form comes from Karnataka's rules, with carpet area, instalments and handover date.
The conveyance comes after completion. Section 17 gives the promoter three months from the occupancy certificate to register it, unless local law sets a different period. A new-flat buyer in Bangalore may thus hold only an agreement for a long stretch, with RERA as the main shield meanwhile.
Money Due on Registration Day
Most charges fall at the deed. Duty runs at 5% of market value over Rs. 45 Lakhs (5.6% once cess and surcharge are included), plus a 2% registration fee. On a Rs. 90 Lakhs flat, duty is Rs. 5.04 Lakhs and the fee Rs. 1.8 Lakhs, so Rs. 6.84 Lakhs in all.
The base is whichever is higher, the agreed price or the guidance value. Lenders leave these charges out, so the buyer must have the cash ready. The EMI calculator puts upfront cash beside the monthly instalment.
If the Seller Stalls
With a valid agreement a buyer can take either of two paths. Specific performance is a court order making the seller execute and register the deed. Courts grant it as a rule since the 2018 amendment to the Specific Relief Act, apart from the exceptions it lists. The other path claims back the advance with damages.
Courts look for three things.
- A written agreement carrying the correct stamp.
- Payments made on time and the means to pay the rest.
- A suit lodged within three years of the agreed completion date.
Registering the agreement helps too. The entry in the encumbrance certificate puts others on notice.
Seven Steps From Advance to Deed
This sequence keeps a purchase safe.
- Finish verifying title, or tie the agreement to it, before a large advance leaves the account.
- Put in writing the price, instalment dates, deed deadline and default terms.
- Name every person who will be a buyer on the deed.
- Pay through the bank and file the receipts.
- Compare the deed's property description with three sources: the agreement, the e-khata and the seller's own title.
- At registration, collect the original title papers, current tax receipts and the letter of possession.
- File for the khata change soon after the deed returns.
